Its Practice Issues and Implications on BoD Meetings and AGMs and EGMs of Companies During the Covid-19 Lockdown.

Before 19th April 2020, online or e-meetings of directors, shareholders and members of government offices, companies and other types of legal entities could not be practically carried out mainly because they required physical attendance of at least 1/3 of attendees to be present at the same place in Thailand and all other attendees to be physically present in other places but in Thailand. Given the Covid-19 crisis, the impractical and cumbersome requirements of physical attendance has been lifted effective from 19th April 2020 under the Emergency Decree on E-Meetings B.E. 2563 signed by the Prime Minister on 18th April 2020. This ED came into force to the delight of businesses and other types of organizations as they will now be able to convene online/e-meetings without physical attendance in Thailand. However, to convene e-meetings of directors and shareholders, companies are running into a number of practice issues and questions that need to be clarified and guided.
